Any unsolicited CV(s) or resume(s) received by us will be treated as the property of Dialight and any terms and conditions of executive search consultants, recruitment agencies, ‘head hunters’ and employment businesses, etc. (together, ‘Recruiters’) associated with the use of such CV(s) or resume(s) will be considered null and void, and we shall not be liable for any fees whatsoever if we choose to contact and engage the candidate(s) directly.
To protect the interests of all parties, please do not send us CVs or resumes unless (a) we have explicitly requested that your company does so in respect of a specific vacancy and (b) have signed terms between us. We consider the sending of CVs and resumes with terms and conditions attached as an unfair attempt to assert prior claim over a particular candidate and do not accept that this would establish any prior claim by your company to represent the candidate if another party also submits such candidate’s details to us. Submission of your or your company’s terms and conditions with a CV or resume shall not constitute an agreed contract between you or your company and Dialight; Dialight requires all its commercial or contractual relationships (and any variations of such relationships) with executive search consultants, recruitment agencies, ‘head hunters’ and employment businesses, etc. (together, ‘Recruiters’) to be in writing and signed by the parties or their authorised representatives. Such agreements will only be valid if in writing and signed by the General Counsel of Dialight plc or his designee; no other Dialight employee is authorised to bind Dialight regarding the placement of any candidates by Recruiters. Dialight hereby specifically rejects and denies any liability under any agreement purporting to be accepted based on negative consent, negotiation with a candidate, performance or any means other than the signature of the General Counsel of Dialight plc or his designee.
In the absence of any signed terms between us, your submission of any solicited or unsolicited CVs or resumes to us in respect of any vacancy will be deemed evidence of full and unqualified acceptance by you or your company of these terms, and agreement by you or your company that these terms constitute the entire agreement in relation to any commercial or contractual relationship between us in respect of the candidate(s) whose unsolicited CVs or resumes were thus sent. Dialight shall not be liable to you or your company for any fees whatsoever if we choose to contact and engage such candidate(s) directly.
